Terms of Service

These terms are an agreement between you and API Sky, LLC ("ApiSky", "we", "us") covering your use of the ApiSky service, including the SkyCoder editor extension, the web application, and our APIs (together, the "Service"). By creating an account or using the Service you accept these terms.

1. The Service

ApiSky is an AI-assisted software development tool. It reads source code you give it access to, sends that material to AI model providers on your instruction, and returns generated text and code suggestions.

ApiSky is an application built on third-party AI models; it does not resell access to them.

Beta. The Service is in beta. Features may change, and it may have errors or interruptions.

Output is a suggestion, not a guarantee. AI-generated code can be incorrect, insecure, or unsuitable. You are responsible for reviewing, testing and deciding whether to use anything the Service produces. Do not deploy generated code you have not reviewed.

2. Your account

• You must be at least 18 years old and able to enter a binding contract.
• You are responsible for activity under your account and for keeping your credentials secure.
• Tell us promptly at support@apisky.net if you believe your account has been accessed without your permission.
• If your organization administrator manages your account, they may set limits on your usage and view your usage records.

3. Acceptable use

You agree not to use the Service to:

• break any applicable law, or infringe anyone's intellectual property or privacy rights;
• process code or data you do not have the right to process;
• create malware, or tooling whose purpose is to gain unauthorised access to systems;
• attempt to circumvent usage limits, billing, or access controls;
• resell or redistribute the Service without our written agreement;
• use automated means to place unreasonable load on the Service.

You also agree to comply with the usage policies of the AI providers your requests are sent to.

We may suspend an account that is causing harm to the Service or to others. Where circumstances allow, we will contact you first.

4. Your content and your code

You keep ownership of your code. We claim no ownership of source code, prompts or other material you submit ("Your Content"), and no ownership of the output the Service generates for you.

You grant us a limited licence to process Your Content only as needed to operate the Service: to transmit it to the AI provider you selected, to return the result to you, and to store what is necessary for the features you use. ApiSky does not train AI models, and does not use your content to train anyone's.

AI models can produce similar output for different users. We make no claim that output is unique, and we do not warrant that output is free of third-party rights.

5. Third-party AI providers

The Service sends each request to the model you select by one of three paths:

• Vercel AI Gateway, for models from the US AI labs;
• Fireworks, on US-hosted GPUs, for open-source models;
• an OpenAI-compatible connection to your own provider account or to a local model.

Vercel and Fireworks run with zero data retention on our account. Each provider's handling of the data is also governed by its own terms, which you should read before choosing a model. We are not responsible for a third party's acts or omissions. The models currently available are listed in the application.

If you connect your own provider account, your agreement with that provider applies to those requests. With your own provider keys you pay that provider for tokens; we charge cycles only.

6. Fees, credits and billing

• All prices are in United States Dollars (USD), exclusive of taxes unless stated. Purchases carry a 5% platform fee, plus applicable taxes where required.
• Usage is billed against a prepaid credit balance, with a minimum purchase of $50 USD. The current rate for each model is shown in the application before you run a task.
• Credits are used oldest first. Each purchase expires 12 months after it was made, and any part of it still unused then is forfeited.
• There is no subscription and no recurring charge. See our Refunds & Cancellation Policy.
• When your balance or your budget reaches zero, work stops.
• If you enable automatic recharge, you authorise us to charge your saved payment method when your balance falls below the threshold you set. You can turn this off at any time.
• Payments are processed by Stripe. We do not receive or store your card details.
• If a payment fails, we may suspend paid features until the balance is settled.

Model usage is charged at a rate based on the provider's list price, shown in the application before a task runs. The rate changes when the provider changes its price. A rate change never applies to work already completed.

Cycles. You give ApiSky a task; it splits the work into steps, and each step it finishes is one cycle. A simple task is one cycle. In a long chat, each time ApiSky clears its working memory is also a cycle. Technically, a cycle is counted each time the assistant finishes a thread (end_thread), clears its context (spawn), or completes a task (done). Cycles are charged when they end, never when they start.

Our own charges are different. We may change the charges we set ourselves — the minimum purchase and the per-cycle price — with at least 30 days' notice by email. Such a change never applies to credits you have already bought.

7. Availability

We work to keep the Service available but do not guarantee uninterrupted operation. We may perform maintenance, and we may change or discontinue features. If we discontinue the Service, we will give you 30 days' notice and refund your unused credits.

8. Termination

You may stop using the Service and close your account at any time. We may terminate or suspend your access if you materially breach these terms, if required by law, or if your use presents a security or legal risk. Unused credits are not refunded on termination, except as set out in our Refunds Policy.

Closing your account deletes your data. Delete your account in the app under Profile → Delete account, or email support@apisky.net. It is deactivated for 14 days, when you can ask us to restore it, then permanently deleted — account data, code, conversations, uploads and indexes — within 30 days of your request. 9. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that output is accurate, complete, secure or fit for any purpose.

10. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.

Our total liability arising out of or relating to these terms is limited to the greater of 100 USD or the amount you paid us in the twelve months before the event giving rise to the claim.

Nothing in these terms excludes liability that cannot lawfully be excluded.

11. Indemnity

You agree to indemnify us against third-party claims arising from your breach of these terms, your misuse of the Service, or your use of output in a way that infringes another party's rights.

12. Changes to these terms

We may update these terms. Material changes are announced by email to account holders at least 30 days before they take effect. Continuing to use the Service after that date means you accept the revised terms. If you do not accept them, cancel before the effective date and, as an exception to our no-refund rule, we will refund your unused credits.

13. Governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The courts of the State of Delaware have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
